Sales Tax Registration — Who Must Register
Manufacturers, importers, and Tier-1 retailers must register regardless of some thresholds; other businesses must register once annual taxable turnover crosses Rs. 10 million. Exporters typically register voluntarily to claim input tax refunds on zero-rated supplies. Registration is completed on IRIS and requires a bank account certificate, business premises verification (including GPS-tagged photos in many cases), and CNIC copies of owners or directors — a mismatch between the address on the utility bill, rent agreement, and premises photo is the single most common cause of a rejected application.

Monthly Sales Tax Return Filing
Once registered, a return is due every month by the 18th — including a Nil return in months with no sales, since non-filing (even of a Nil return) carries the same penalty as a late substantive return. The return itself is built from annexures that must reconcile with each other: a purchase/input register, a sales/output register, and for manufacturers, a stock statement — a large unexplained gap between reported sales and stock movement is one of the most common audit triggers.
Sales Tax Return Filing — Complete FBR IRIS Guide covers the annexures in detail, withholding by government buyers, refunds for exporters via the FASTER system, and de-registration.
Withholding Tax Obligations
Businesses that qualify as withholding agents — government departments, public sector organizations, and specified large companies — must deduct tax at source on payments to contractors, suppliers, and service providers, and file a monthly WHT statement separate from the sales tax return. Rates differ sharply between filers and non-filers on the paying end, which is one more reason maintaining active filer status matters even for a business that doesn't itself sell to consumers.

Minimum Tax — Section 113
If a company's normal computed tax liability is less than a set percentage of gross turnover, minimum tax applies instead — even in a loss-making year. This catches businesses with thin margins, heavy deductions, or a deliberately low declared profit, and is a common surprise for first-time filers who assume a loss year means zero tax due.

Choosing a Business Structure
Sole proprietorship, AOP/partnership, and private limited company each carry different registration steps, tax rates, and compliance obligations. A sole proprietorship has the simplest setup but no liability separation from the owner; an AOP suits a partnership between a small number of people but files its own return in addition to each partner declaring their share individually; a private limited company offers liability protection and easier fundraising but comes with SECP compliance on top of FBR filing. The right choice depends on the number of owners, liability protection needs, and growth plans — get this decision reviewed before registering, since converting structures later is far more work than choosing correctly the first time.
